1.1 – General disposition |

These general conditions have been concluded between CORDON MULTIMEDIA,
joint stock company with a shared capital of 4 200 000 €, which head
office is located in Boulogne-Billancourt (92100) - 85 Avenue Pierre Grenier - FRANCE,
registered Nanterre under the number 433 868 189,
and professionals willing to pass on order on the web site www.cordonweb.com.

1.2 – Order validity |
| |

If the professional orders products shown on-line, he recognises to be
fully informed that his agreement concerning the content of these general
conditions does not imply any signature in writing. The acknowledgment of
these general conditions implies the professional’s full legal capacity.

1.3 – Application of the general purchase

The professional can download or publish these general conditions, however
this is his solely responsibility. CORDON MULTIMEDIA may amend these general
conditions. In which case, the applicable conditions are those on confirmation
of the order. |

| II. GENERAL |

2.1 – Subject and effective date |
| |

These present conditions aim to define the rights and the obligations
between CORDON MULTIMEDIA and the telecommunication professionals for the
purchase on-line of products proposed by CORDON MULTIMEDIA. |

2.2 – Time |
| |
|
The effective date of these purchase conditions is the entry date of the
order.
These general purchase conditions are concluded for the time needed to supply
the subscribed products until the full payment of the professional. |

2.3 – Validation of the electronic signature
|
| |
|
The moment the professional registers his order by clicking on ‘Confirmation’,
he is considered to have accepted, in full knowledge of all the considerations
involved and unconditionally, these general conditions, the price, the volume
and the quantity of the products proposed for sale. A confirmation of the
order is equivalent to an order form. |

2.4 – Proof of transaction |
| |
|
The electronic register, kept in the computer system of CORDON MULTIMEDIA
is considered as a proof of communication, order and payment between the
different partners.
The filing of the orders and invoices will be processed on a reliable and
durable support that could be a legal proof. |

| III. PRODUCTS |

3.1 – Information |
| |

CORDON MULTIMEDIA displays on his Internet site the products for sale
as their detailed description, according to the Consumer Law art. L 111-1,
which gives the possibility to the potential consumer to know the essential
characteristics of the product before ordering. |

3.2 – Product presentation |
| |
|
The products proposed are those which are displayed in the e-shop pages of Cordonweb.com.
This products are proposed in the limit of their stock availability. Each
product is detailed with a description in conformity with the supplier's one.
Manufacturer's references, colours etc. The picture of the catalogue are the most faithful but cannot
be considered as the exact reality with the product, for instance colours.

3.3 – Price/TAV |

The price is in Euros inclusive of tax. The tax will be the one applied
on confirmation of the order by the professional and do not include the
postal charges, added to the invoice and indicated after final confirmation
of the order form. |

3.4 – Availability |
| |
|
CORDON MULTIMEDIA cannot be held responsible nor can any claims be made
for the information concerning the availability of the products transmitted
by the supplier, its definitive unavailability or the eventual postponing
of this date.
In case of unvailability of the ordered product, due for instance to the
suppliers and/or manufacturers, the consummer will be informed in the best
time and he will then have the possibility to modify or cancel his order.
The consumer will then have the possibility to request the reimbursement
of the paid amout (reimbuserment made at most 30 days following, the
cancellation of the order).

3.5 – Validity of the product |

All products displayed by CORDON MULTIMEDIA are subject to availability.
CORDON MULTIMEDIA reserves the right to modify the product selection, the
availability and the prices imposed by the supplier and/or manufacturer.

3.6– Advise |
| |

CORDON MULTIMEDIA reminds the professional that we are careful in downloading
personal details for the use of purchased products. The consumer cannot
hold CORDON MULTIMEDIA responsible for loss of data, files or damages caused
by an act of negligence. |

3.7– Property transfer |
| |
|
CORDON MULTIMEDIA remains the owner of the sold products until full collection
of the amount, charges inclusive, due by the professional for the order
he placed. |

| IV ORDER |

4.1 Information |
| |
|
To order on-line, the professional will receive beforehand a password
of the Accessories Department of CORDON MULTIMEDIA. The professional will
fully respect the confidentiality of his password. In case, you lost your
password or it has been stolen, contact immediately our Accessories Department.
The professional is entirely responsible for the use of his password by
a third person. |

4.2 Carrying out of the order |

From the confirmation of your order on our Internet site we will deliver
you within the following days. |

4.3 Consumer information |
| |
|
Every order shall be paid by bank transfer. The professional shall check
the completeness and conformity of the information of the delivery address
that he provides to CORDON MULTIMEDIA. The professional will be held responsible
for possible entry mistakes and the possible consequences such as a delay
or delivery mistake. In this context, all additional expenses incurred for
the reshipping of the order are completely at charge of the professional. |

4.4 Force majeure |
| |

CORDON MULTIMEDIA cannot be held responsible for the non-execution of
its obligation or delivery for any case of force majeure. Are considered
as cases of force majeure : forbidding Exporter's ban promulgated by the
government of the country of origin of the material, the conflicts of work
resulting in a general or sector-based strike, the disturbances affecting
transport, epidemics, shortages of raw materials, embargos, acts of war,
acts of the public authorities, floods and fires. The above list is not exhaustive

CORDON MULTIMEDIA offers to you a 5% discount on the total amount
tax exclusive. (except Shipping costs) |

| V PAYEMENT |
| |

5.1 Information |
| |

Payment shall be made in once by bank transfer, within 30 days from delivery
date at the professional. CORDON MULTIMEDIA reserves the right to refuse
delivery or accept an order from a consumer who has not fully or partially
paid his previous order, or has a payment conflict. |

| VI DELIVERY |
| |
|
|
| |
6.1 General |
| |
|
An order shall be considered as closed when all goods are dispatched;
the consumer entirely paid his products and his part of the postal charges. |

6.2 Method |

CODON MULTIMEDIA chooses the way of transport according to the weight
and/or volume of the products. CORDON MULTIMEDIA reminds the professional

6.3 Usual reserves |
| |

The professional has got the legal and contractual obligation to inspect
the condition and the content of the goods on delivery with the forwarder.
Any discrepancy regarding the delivery (missing product according the delivery
note, damaged or broken product,) shall be mentioned in writing on the delivery
note. The claim shall be detailed, explicate and signed by the professional.

If a wrong delivery has been made, the professional shall keep the goods

7.2 Non-conforming products |

The professional has got the right to change, correct and remove his personal
